TERMS OF USE

These Terms of Use govern your access to and use of goteamrex.com, including its pages, content, features, forms, and related online services, collectively referred to as the “Website.”

The Website is owned and operated by TeamREX Inc., referred to in these Terms as “TeamREX,” “we,” “us,” or “our.”

By accessing or using the Website, you agree to these Terms of Use. If you do not agree with these Terms, please do not use the Website.

1. About TeamREX

TeamREX provides payroll, human resources, workforce administration, employee-benefits support, insurance brokerage services, and related business services.

As part of its employee-benefits services, TeamREX may assist employers and other eligible customers with evaluating, selecting, implementing, enrolling in, and administering employee-benefit and health-insurance programs.

Insurance products and brokerage services are offered only through appropriately licensed entities or individuals and only in jurisdictions where they are authorized to operate.

Information on the Website is provided for general informational and marketing purposes. The specific services provided to a customer are governed by a separate written service agreement, insurance application, broker-of-record appointment, benefit-plan document, carrier agreement, or other applicable contract.

If these Terms conflict with a signed service agreement or applicable insurance or benefit-plan document, the signed agreement or applicable plan or insurance document will control with respect to the services or coverage addressed by that document.

2. Website Use Does Not Create a Client or Broker Relationship

Your use of the Website, submission of a contact form, request for information, request for a quote, or communication with TeamREX does not by itself create a:

  • Client relationship

  • Insurance broker or agent relationship

  • Employer or co-employer relationship

  • Fiduciary relationship

  • Agency relationship

  • Benefits consulting relationship

  • Professional advisory relationship

A formal business or brokerage relationship is established only when the required written agreements, appointments, authorizations, or applications have been completed and accepted.

Unless expressly stated in a signed agreement, TeamREX does not become the employer or co-employer of a customer’s employees. Customers remain responsible for their employment decisions, workplace practices, personnel management, benefit-plan decisions, and legal and regulatory obligations.

3. Insurance Brokerage Role

TeamREX may act as an insurance broker or agent in connection with employee benefits and health-insurance products.

TeamREX is not an insurance company. Insurance coverage is underwritten, issued, administered, and subject to approval by the applicable insurance carrier or other benefit provider.

TeamREX does not independently:

  • Underwrite insurance coverage

  • Determine final eligibility for coverage

  • Set insurance premiums or carrier rates

  • Guarantee that an application will be approved

  • Guarantee that a claim will be paid

  • Make final claims decisions

  • Control provider networks

  • Control drug formularies

  • Control carrier policies or procedures

  • Guarantee the continued availability of a plan or product

TeamREX’s ability to offer or discuss a particular insurance product may depend on licensing, carrier appointments, geographic availability, group size, employee location, eligibility requirements, underwriting rules, and other factors.

4. No Insurance Coverage Is Bound Through the Website

Nothing on the Website constitutes a binder, insurance policy, certificate of coverage, guarantee of benefits, or confirmation that insurance coverage is in effect.

Submitting a request, application, census, enrollment form, payment, or other information does not guarantee that coverage has been approved or placed.

Insurance coverage becomes effective only when all applicable requirements have been satisfied and the insurance carrier or authorized party confirms coverage in writing.

Unless expressly authorized in writing, TeamREX employees and representatives may not:

  • Bind insurance coverage

  • Change policy terms

  • Waive carrier requirements

  • Extend enrollment deadlines

  • Guarantee an effective date

  • Promise that a claim will be covered

  • Alter the terms of a policy, certificate, or benefit plan

You should not cancel, modify, or replace existing insurance coverage until you have received written confirmation that the new coverage is effective.

5. Quotes, Rates, and Benefit Illustrations

Any quote, rate estimate, premium indication, benefit comparison, savings estimate, or cost projection shown or discussed through the Website is preliminary unless expressly stated otherwise in writing.

Quotes and estimates may be based on information provided by the customer, employer, employee, carrier, or another third party. They may change because of:

  • Updated census or enrollment information

  • Employee participation

  • Eligibility changes

  • Underwriting

  • Geographic location

  • Age or rating factors

  • Carrier approval

  • Plan design

  • Effective date

  • Applicable taxes or fees

  • Changes in law

  • Incomplete or inaccurate information

Final premiums, benefits, exclusions, limitations, waiting periods, eligibility requirements, and effective dates are determined by the applicable insurance carrier, benefit provider, and governing plan documents.

TeamREX does not guarantee that a quoted rate or plan will remain available.

6. Insurance and Benefit Documents Control

Website content, marketing materials, presentations, proposals, summaries, comparisons, emails, and verbal explanations are intended to provide general information.

They are not substitutes for the official documents governing an insurance policy or employee-benefit plan.

Depending on the product or plan, controlling documents may include:

  • Insurance policies

  • Certificates of coverage

  • Evidence-of-coverage documents

7. No Guarantee of Plan Suitability

TeamREX may help customers compare employee-benefit and insurance options based on information available at the time.

However, TeamREX does not guarantee that a particular policy, plan, network, provider, benefit level, contribution strategy, or coverage option will be the lowest-cost or most suitable option for every employer, employee, dependent, or participant.

Benefit and insurance needs depend on individual and business circumstances. Customers and participants are responsible for reviewing:

  • Premiums and employee contributions

  • Deductibles

  • Copayments

  • Coinsurance

  • Out-of-pocket limits

  • Provider networks

  • Prescription-drug coverage

  • Exclusions

  • Limitations

  • Waiting periods

  • Eligibility rules

  • Continuation rights

  • Effective and termination dates

Provider participation and prescription-drug formularies may change. Customers and participants should verify current provider and drug information directly with the carrier before obtaining services or filling prescriptions.

8. Insurance Carrier and Third-Party Decisions

Insurance carriers, benefit providers, third-party administrators, technology providers, and other third parties are independent organizations.

TeamREX is not responsible for a third party’s:

  • Underwriting decision

  • Eligibility decision

  • Claim determination

  • Payment delay

  • Denial of benefits

  • Provider-network change

  • Formulary change

  • Billing decision

  • Premium adjustment

  • Cancellation or nonrenewal

  • Website or platform availability

  • Data processing

  • Security practices

  • Error or omission

TeamREX may assist with communications or service issues where included in a customer agreement, but TeamREX cannot guarantee that a carrier or provider will reverse or change a decision.

Appeals, complaints, and requests for reconsideration remain subject to the applicable carrier, plan, contractual, and legal procedures.

9. Employer and Plan-Sponsor Responsibilities

Unless a signed agreement expressly states otherwise, an employer or other plan sponsor remains responsible for:

  • Selecting and sponsoring its employee-benefit plans

  • Determining employee eligibility

  • Making employment and classification decisions

  • Establishing contribution levels

  • Approving plan changes

  • Providing accurate employee and dependent information

  • Reviewing and approving enrollment materials

  • Distributing required notices

  • Meeting enrollment and reporting deadlines

  • Paying premiums and fees when due

  • Maintaining required records

  • Complying with applicable employment, tax, benefits, privacy, and insurance laws

TeamREX may provide administrative assistance, information, reminders, or compliance resources. Such assistance does not transfer the employer’s legal responsibilities to TeamREX unless the transfer is expressly permitted by law and stated in a signed agreement.

10. Compensation and Carrier Relationships

TeamREX may receive compensation in connection with insurance and employee-benefit services.

Compensation may include:

  • Commissions paid by insurance carriers

  • Fees paid by customers

  • Administrative or service fees

  • Consulting fees

  • Technology-related compensation

  • Bonuses, overrides, or other carrier compensation where permitted

  • Other compensation disclosed in applicable agreements or disclosures

The amount and form of compensation may vary by carrier, product, customer, enrollment, or service arrangement.

TeamREX will provide compensation disclosures when required by applicable law or agreement. Customers may request additional information about how TeamREX is compensated in connection with their account.

A reference to or presentation of an insurance carrier or product does not mean that TeamREX represents every carrier or every product available in the market.

11. No Automatic Fiduciary Status

TeamREX does not act as a fiduciary, plan administrator, plan sponsor, trustee, named fiduciary, or discretionary authority merely by operating the Website, providing general information, or offering ordinary brokerage and administrative services.

TeamREX will act in such a capacity only when that role is expressly stated in a signed agreement or is otherwise imposed by applicable law based on the services actually performed.

Nothing on the Website should be interpreted as accepting discretionary authority or responsibility for the management, administration, or assets of an employee-benefit plan.

Employers and plan sponsors should consult qualified legal counsel regarding their fiduciary and plan-administration responsibilities.

12. Not Legal, Tax, Accounting, Medical, or Regulatory Advice

These limitations apply regardless of the legal theory involved and even if TeamREX was advised that damages were possible.

The limitations in this section apply only to use of the public Website. Liability relating to paid services, brokerage services, confidential data, or insurance transactions is governed by the applicable customer, brokerage, carrier, privacy, or service agreement and applicable law.

Some jurisdictions do not permit certain liability limitations. In those jurisdictions, the limitations will apply only to the extent permitted by law.

26. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless TeamREX and its owners, directors, officers, employees, licensed producers, contractors, representatives, affiliates, licensors, and service providers from claims, damages, liabilities, judgments, losses, costs, and reasonable attorneys’ fees arising from:

  • Your misuse of the Website

  • Your violation of these Terms

  • Your violation of applicable law

  • False, inaccurate, incomplete, or unauthorized information you submit

  • Information or material you submit through the Website

  • Your infringement of another person’s rights

TeamREX may assume control of the defense of a matter subject to indemnification. You agree to reasonably cooperate with that defense.

Governing Law and Venue

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law principles.

Any legal action arising from or relating solely to the Website or these Terms must be brought in the state or federal courts located in Kent, Delaware.

You and TeamREX consent to the personal jurisdiction and venue of those courts.

This section does not prevent either party from seeking appropriate temporary or injunctive relief in another jurisdiction when necessary to protect intellectual-property, confidential-information, privacy, data-security, or other legal rights.

Insurance products and brokerage activities remain subject to the insurance laws and regulatory authority of the applicable jurisdiction.

30. Changes to These Terms

We may revise these Terms periodically. When changes are made, we will update the effective date at the top of the page.

Changes become effective when the revised Terms are posted unless a later date is stated.

Your continued use of the Website after revised Terms are posted constitutes acceptance of the revised Terms.

31. Termination

We may suspend, restrict, or terminate your permission to use the Website if we reasonably believe you have violated these Terms, created a security or compliance risk, exposed TeamREX or another person to liability, or interfered with the Website.

Sections that by their nature should continue after termination will survive, including provisions concerning intellectual property, disclaimers, liability limitations, indemnification, governing law, and dispute resolution.

32. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain in effect.

33. No Waiver

A failure by TeamREX to enforce any provision of these Terms does not waive our right to enforce that provision or any other provision in the future.

34. Entire Agreement

These Terms and the Privacy Policy constitute the entire agreement between you and TeamREX regarding use of the public Website.

They do not replace or modify any:

  • Customer service agreement

  • Brokerage or consulting agreement

  • Broker-of-record appointment

  • Insurance application

  • Insurance policy or certificate

  • Employee-benefit plan document

  • Summary Plan Description

  • Business associate agreement

  • Data-processing agreement
